CIBC Cayman Bank Limited (the “CayBank”) was incorporated as an ordinary resident company in the Cayman Islands and operates under a Class B Restricted Banking License. The CayBank is regulated by the Cayman Islands Monetary Authority (“CIMA”) and is a wholly owned subsidiary of CIBC Cayman Holdings Limited (“Cayman Holdings”), a wholly owned subsidiary of Canadian Imperial Bank of Commerce (“Parent Bank”, and collectively with its controlled subsidiaries “CIBC”), a Canadian Schedule I bank and the ultimate parent company of each entity described herein. CayBank’s principal activity is to manage high quality liquid assets and maintain standby arrangements to provide emergency liquidity to any of CIBC’s global funding locations, including the U.S. and Caribbean Regions. CayBank does not have any subsidiaries.
